User Terms

These User Terms ("Terms") govern your use of a Tessryx account when you do not operate a Tessryx workspace of your own. For example, these Terms apply if you create a Tessryx account to sign in to a website or application operated by a Tessryx customer or if you are invited to participate in another customer's workspace.

If you create or operate a Tessryx workspace as a customer, the Tessryx Customer Terms apply to your operation and use of that workspace. These User Terms may continue to apply to your separate use of Tessryx as an individual user where appropriate.

By creating or using a Tessryx account, you agree to these Terms.

Tessryx LLC ("Tessryx," "we," "us," or "our") is a California limited liability company located at 8605 Santa Monica Blvd #347695, West Hollywood, CA 90069.

#1. What Tessryx Is, and What It Isn't

Tessryx provides infrastructure that customers use to build, host, and operate websites, applications, workflows, and automations. When you visit or sign in to a site or application operated by a Tessryx customer, the customer, not Tessryx, generally determines the site's content, functionality, offerings, and interactions with users.

Tessryx does not endorse customer-operated sites or applications merely because they use the Services. Except for features Tessryx expressly provides or controls, Tessryx does not determine the content customers publish, the products or services they offer, or how they choose to interact with their users.

Tessryx may investigate reports, enforce its Acceptable Use Policy, restrict access to content or functionality, or take other action as permitted by these Terms, the Customer Terms, or applicable law. Doing so does not make Tessryx the operator, publisher, sponsor, or endorser of a customer-operated site or application.

#2. Your Account

You must be at least 16 years old to create or maintain a Tessryx account. By creating an account, you represent that you meet this minimum age requirement.

You must provide accurate information when creating or maintaining your account and keep your email address current so that Tessryx can send account, security, legal, and service-related communications to you.

You are responsible for maintaining the confidentiality and security of your authentication credentials and for activity you authorize through your account. You may not share your credentials in a manner that compromises account security or permit another person to impersonate you through your account.

If you believe your account or credentials have been compromised or used without authorization, contact security@tessryx.com promptly.

Tessryx may require you to reauthenticate, reset credentials, or take other reasonable security measures where necessary to protect your account or the Services.

#3. Signing In to Customer Sites

Some sites and applications built using Tessryx allow or require you to sign in with your Tessryx account.

Before Tessryx provides information to a customer site through Sign in with Tessryx, we display an approval screen on our own domain identifying the site and asking you to approve the connection. Each customer site requires its own approval. Approving one site does not authorize another.

If you are not a member of the customer's workspace, the site receives a pseudonymous identifier generated specifically for that customer. The site does not receive your Tessryx account name, email address, or information from other workspaces merely because you sign in.

If you are a member of the customer's workspace, pages restricted to workspace members or particular roles may also receive your email address and applicable workspace role, as disclosed through the approval process.

Because the customer-specific identifier is stable, a customer may be able to associate activity from earlier visits with your workspace membership if you later join that customer's workspace.

You can review and revoke site approvals through Connected apps in your Tessryx account settings. Revoking an approval terminates the Tessryx authorization for that connection, although the customer may retain information it previously received as permitted by its own terms, privacy notice, and applicable law.

#4. Information and Content You Submit to Customer Sites

If you submit a comment, form response, file, name, email address, or other information through a site or application operated by a Tessryx customer, you are providing that information to the customer operating the site.

The customer generally determines why the information is collected, how it is used, whether it is published or disclosed, and how long it is retained. The customer's own terms and privacy notice, if applicable, govern its relationship with you.

Tessryx may store or otherwise process that information because we provide infrastructure to the customer, but we generally process it on the customer's behalf rather than determining how the customer uses it.

Requests concerning information controlled by a customer, including requests to access, correct, or delete that information, should ordinarily be directed to the customer. If you cannot reach the customer, you may contact support@tessryx.com or privacy@tessryx.com. We may assist as appropriate, but we may need to refer the request to the customer and cannot independently determine the customer's legal obligations or authorize deletion on the customer's behalf.

#5. Acceptable Use

You must comply with the Tessryx Acceptable Use Policy when using your Tessryx account or accessing the Services.

Without limiting that Policy, you may not use your account to engage in unlawful activity; facilitate fraud, phishing, abuse, or unauthorized access; exploit or endanger children; distribute malware; infringe the rights of others; deceptively impersonate another person or organization; attack or circumvent the security of Tessryx or a customer-operated site; or evade an account suspension or other enforcement measure.

The Acceptable Use Policy is incorporated into these Terms by reference. A violation of the Acceptable Use Policy may result in restrictions, suspension, or termination as described below.

#6. Suspension and Account Closure

You may close your Tessryx account at any time through your account settings, subject to any obligations that survive account closure.

Tessryx may restrict, suspend, or close your account if you materially violate these Terms or the Acceptable Use Policy, if your use is unlawful, fraudulent, abusive, or reasonably presents a security or integrity risk, or where suspension or closure is reasonably necessary to comply with applicable law or protect Tessryx, our customers, users, or third parties.

Where circumstances reasonably permit, we will provide notice of the reason for the action. We may act immediately where necessary to address fraud, abuse, unlawful activity, a security threat, imminent harm, or another urgent risk.

Closing your Tessryx account revokes active Sign in with Tessryx approvals associated with that account and ends your ability to use the account to access customer sites.

Account closure does not necessarily delete information you previously submitted to a customer-operated site. The applicable customer may continue to control or retain that information, and requests concerning customer-controlled information should ordinarily be directed to the customer.

Tessryx will handle personal information associated with your Tessryx account in accordance with our Privacy Policy and applicable law.

#7. Reporting Problems

Suspected abuse involving a customer-operated site may be reported to abuse@tessryx.com. Copyright infringement claims should be submitted under our DMCA Policy to dmca@tessryx.com. Potential security vulnerabilities affecting Tessryx should be reported to security@tessryx.com, and privacy questions or requests concerning your Tessryx account may be sent to privacy@tessryx.com.

Security issues relating solely to content, workflows, applications, or pages controlled by a Tessryx customer may fall outside Tessryx's vulnerability disclosure process and should ordinarily also be reported to the applicable customer.

#8. Customer Sites and Third-Party Services

Customer-operated sites and applications may provide products, services, information, communications, integrations, or links that are not provided or controlled by Tessryx.

Unless Tessryx expressly states otherwise, Tessryx is not a party to transactions or other relationships between you and a Tessryx customer or another third party. Your dealings with those persons are between you and them.

Tessryx does not control and is not responsible for the availability, accuracy, legality, quality, safety, or performance of customer or third-party products, services, content, websites, or applications, except to the extent responsibility cannot lawfully be excluded.

#9. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TESSRYX SERVICES AND YOUR TESSRYX ACCOUNT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TESSRYX DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE EXTENT THEY MAY LAWFULLY BE DISCLAIMED.

Tessryx does not warrant that the Services will be uninterrupted, error-free, completely secure, or available at all times.

Tessryx does not make warranties concerning customer-operated sites, applications, content, products, services, or communications merely because they are built, hosted, or delivered using Tessryx infrastructure.

Nothing in these Terms excludes, restricts, or modifies a warranty, guarantee, right, or remedy that applicable consumer law does not permit us to exclude, restrict, or modify.

#10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TESSRYX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TESSRYX IS NOT RESPONSIBLE FOR CLAIMS OR LOSSES ARISING FROM CONTENT, PRODUCTS, SERVICES, REPRESENTATIONS, TRANSACTIONS, OR OTHER CONDUCT CONTROLLED BY A TESSRYX CUSTOMER OR THIRD PARTY, EXCEPT TO THE EXTENT THE CLAIM OR LOSS RESULTS FROM TESSRYX'S OWN CONDUCT OR RESPONSIBILITY UNDER APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TESSRYX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF A TESSRYX ACCOUNT WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID DIRECTLY TO TESSRYX DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations in this Section do not apply to liability that cannot lawfully be excluded or limited. Nothing in these Terms limits rights or remedies available to you under applicable consumer protection law where those rights or remedies cannot be waived.

#11. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.

Subject to any rights you have under applicable consumer law to bring a claim in another jurisdiction, disputes arising out of or relating to these Terms or your Tessryx account will be brought in the state or federal courts located in Los Angeles County, California, and you and Tessryx consent to the jurisdiction of those courts.

Nothing in this Section deprives you of mandatory protections or rights concerning jurisdiction, venue, or applicable law that cannot lawfully be waived under the laws applicable to you.

#12. Changes to These Terms

Tessryx may update these Terms from time to time to reflect changes to the Services, applicable law, security requirements, or our operations.

If we make a material change that adversely affects your rights or materially increases your obligations, we will provide reasonable advance notice by email, through the Services, or by another reasonable method where required or appropriate.

The revised Terms will become effective on the date stated in the notice or updated Terms. Where applicable law requires your affirmative consent to a change, the change will not apply to you unless and until that consent is obtained.

If you do not agree to revised Terms, you may stop using and close your Tessryx account before the revised Terms take effect.

#13. General Terms

If any provision of these Terms is held unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

Tessryx's failure to enforce a provision of these Terms is not a waiver of its right to do so later.

You may not transfer your Tessryx account or assign these Terms without Tessryx's consent. Tessryx may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, subject to applicable law.

These Terms, together with the policies expressly incorporated into them, constitute the agreement between you and Tessryx concerning your individual use of a Tessryx account, except where another Tessryx agreement expressly governs the applicable use.
